Vin-Voyages, LLC 
Client Agreement

This Client Agreement (this “Agreement”) constitutes a legally binding agreement between you (“client,” “traveler,” or “you”) and Vin-Voyages, LLC (“Vin-Voyages,” “we,” or “us”). Vin-Voyages is a small wine travel company that organizes curated trips centered around wine and food experiences in the United States, France, and other parts of Europe (your “Trip”). By signing below, you acknowledge that you have read, understood, and agree to abide by this Agreement in its entirety. You are agreeing to this Agreement on behalf of yourself and all other travelers included in the Trip. Due to the nature of the Trips, all travelers must be 21 years of age or older.

THIS AGREEMENT CONTAINS IMPORTANT WAIVERS, DISCLAIMERS, AND LIMITATIONS OF RIGHTS. READ THIS AGREEMENT CAREFULLY.

1. Fees, Services, and Trip Costs. 
a. By submitting a credit card to Vin-Voyages, you authorize Vin-Voyages to use your payment method for the charges authorized herein or otherwise authorized by you in connection with the Trip. You will be responsible for damages to any property or accommodation, whether caused by willful or accidental damage by any member of your party. You authorize us to charge the costs of such damages to the credit card on file. All payments are non-refundable except as otherwise stated herein.
b. Your Trip (and the Trip cost paid to Vin-Voyages) includes only the items and services expressly stated on the itinerary. Air is not included in any Trip and is the client’s responsibility to arrange and book in the client’s discretion. The following are not included in your Trip and are at your sole cost and expense, unless expressly stated on the itinerary: (1) travel insurance; (2) costs associated with obtaining passports or entry visas; (3) reciprocity and other border fees; (4) airfare and all related costs and charges, including without limitation, cancellation fees, upgrades, airport departure taxes, baggage fees, and excess baggage charges; (5) gratuities; (6) meals, snacks, and beverages; (7) room service and other room charges (e.g., minibar, wi-fi); (8) sightseeing not included in the itinerary; (9) personal expenses such as laundry, souvenirs, and incidental purchases; (10) communication charges and/or internet access; (11) medical evacuation services and medical treatment; and (12) additional optional activities (which are subject to availability). You are responsible for all costs in addition to the Trip itinerary booked through Vin-Voyages.
c. Trip itineraries are prepared well in advance, and changes may occur after publication. These changes may include, but are not limited to, modifications in hotel accommodations, activity availability, or tour components due to factors such as maintenance, weather conditions, or unforeseen circumstances. Reasonable efforts will be made to operate itineraries as planned, but Vin-Voyages reserves the right to alter or substitute elements of your Trip  itinerary as necessary without prior notice, offering an equivalent standard where possible. You understand, acknowledge, and agree that changes to itineraries for any Trip may be made without previous notice to you, and without liability to you or any other traveler for any loss, damage or delay whatsoever.

2. Deposits. 
a. Failure to timely pay deposit and/or remaining balance may result in the cancellation of your Trip without further notice and the accrual of cancellation fees (as specified further below). All deposits and balances may be charged to the credit card or other payment method on file.
b. International Trips: 
i. A deposit of $1,000 per person is required upon signing this Agreement.
ii. The remaining balance of the total Trip cost is due 120 days before the Trip departure.
c. Domestic Trips:
i. A deposit of $200 per person is required upon signing this Agreement.
ii. The remaining balance of the total Trip cost is due 90 days before the Trip departure.

3. Cancellation Policy:
a. All cancellations must be submitted in writing via email to natacha@vin-voyages.com and acknowledged in writing by Vin-Voyages. You agree to pay the following cancellation fees for any cancellation for any reason, which may be charged to the credit card on file:
b. Cancellation Fees for International Trips:
i. For cancellations received by Vin-Voyages 180 or more days before the Trip departure, the cancellation fee is 0% of the Total Trip cost, and Vin-Voyages will refund the deposit and any other prepaid amounts.
ii. For cancellations received by Vin-Voyages 179 – 90 days before the Trip departure, the cancellation fee is 50% of the Total Trip cost, the balance of which must be paid to Vin-Voyages within 5 days of the cancellation.
iii. For cancellations received by Vin-Voyages 89 or less days before the Trip departure, the cancellation fee is 100% of the Total Trip cost, the balance of which must be paid to Vin-Voyages within 5 days of the cancellation.
c. Cancellation Fees for Domestic Trips:
i. For cancellations received by Vin-Voyages 90 or more days before the Trip departure, the cancellation fee is 0% of the Total Trip cost, and Vin-Voyages will refund the deposit and any other prepaid amounts.
ii. For cancellations received by Vin-Voyages 89 – 45 days before the Trip departure, the cancellation fee is 50% of the Total Trip cost, the balance of which must be paid to Vin-Voyages within 5 days of the cancellation.
iii. For cancellations received by Vin-Voyages 44 or less days before the Trip departure, the cancellation fee is 100% of the Total Trip cost, the balance of which must be paid to Vin-Voyages within 5 days of the cancellation.

4. Other Client Responsibilities.
a. You are responsible for providing complete and accurate information on yourself and all other travelers included in the Trip. IT IS YOUR RESPONSIBILITY TO REVIEW AND VERIFY ALL INFORMATION FOR ACCURACY. CONTACT VIN-VOYAGES IMMEDIATELY IF CHANGES OR CORRECTIONS ARE REQUIRED.
b. Clients are responsible for safeguarding all of their luggage and personal possessions.
c. If you choose to consume alcohol, you are responsible for doing so in a responsible and lawful manner.
d. You are responsible for ensuring all travelers possess appropriate travel documentation (including visas, identification, vaccinations, passports, and so forth), for complying with all domestic and international security requirements for air travel (including without limitation, rules on the carriage of prohibited or restricted items aboard an aircraft), for complying with all domestic and international customs requirements, and for comply with all applicable domestic and international laws, rules, and regulations. Any discrepancy between your reservation and your travel documentation may result in denied boarding or an undue delay at an airport security checkpoint causing you to miss your flight. 
e. Vin-Voyages is not liable or responsible for any bookings, reservations, or arrangements you make independently of us, including without limitation, flight arrangements. Vin-Voyages is not responsible for any loss resulting from missed flights, cancellations, or changes in gateways, itineraries, or travel dates, and we cannot assist you with any schedule changes or delays related to air reservations. All air carriers are independent contractors and are not owned, managed, controlled or operated by Vin-Voyages.
f. Due to enhanced airline security, it is strongly recommended that you check in a minimum of 2 hours prior to scheduled departure for domestic flights and 3 hours prior to scheduled departure time for international flights. Reconfirm flight times at least 24 hours prior to scheduled departure time for domestic flights, and 72 hours prior for international flights.

5. Protections Offered by Credit Card Payments and Travel Insurance.
a. We strongly recommend that clients pay for all Trips by credit card since credit card companies may provide protection against the loss of funds due to Supplier default, insolvency, or bankruptcy. The term “Suppliers” refers to the tour guides, hotels, bus companies, ground transportation, boat purveyors or owners, restaurants, wineries, parks, sightseeing and entertainment vendors, and other independent contractors providing accommodations, transportation, and other services in connection with your Trip.
b. TO COVER MANY OF THE ISSUES THAT MIGHT INTERRUPT OR CANCEL YOUR TRIP OR PREVENT A TRAVEL SUPPLIER FROM PROVIDING THEIR SERVICES TO YOU (INCLUDING THE SUPPLIER’S DEFAULT, INSOLVENCY, OR BANKRUPTCY), WE REQUIRE ALL CLIENTS TO PURCHASE TRAVEL INSURANCE, WHICH IS AVAILABLE AT AN ADDITIONAL CHARGE. TRAVEL INSURANCE CAN HELP TO SAFEGUARD AGAINST UNFORESEEN CIRCUMSTANCES SUCH AS TRIP CANCELLATIONS, MEDICAL EMERGENCIES, LOST LUGGAGE, OR TRAVEL DISRUPTIONS. Proof of travel insurance must be provided within 30 days of paying the deposit. Failure to timely obtain travel insurance  may result in the cancellation of your Trip and cancellation fees (as specified further above).
c. Please read any travel insurance policies carefully and if you have any questions, please call the travel insurance company for clarification, since they have the final word on what is covered by a claim and what is not. Vin-Voyages cannot guarantee that any particular claim will be covered by travel insurance. 
d. REGARDLESS OF YOUR PAYMENT METHOD OR YOUR PURCHASE OF TRAVEL INSURANCE, VIN-VOYAGES IS NOT LIABLE FOR ANY CLAIMS, COSTS, LOSSES, EXPENSES, DELAYS, CHANGES, CANCELLATIONS, OR INCONVENIENCE ARISING FROM ANY CIRCUMSTANCES BEYOND VIN-VOYAGES’ CONTROL, INCLUDING WITHOUT LIMITATION, WEATHER, NATURAL DISASTER, ACTS OF GOD, LABOR PROBLEMS, MECHANICAL ISSUES, EVENTS AFFECTING AIR TRAVEL PATTERNS, TERRORISM, DISEASES, EPIDEMICS, POLITICAL UNREST, GOVERNMENTAL RULINGS, ACTS OF WAR, THIRD-PARTY ACTIONS, CRIMINAL ACTIVITIES, SUPPLIER DEFAULT OR INSOLVENCY, TRAVELER ILLNESS OR INJURY, LOST OR STOLEN LUGGAGE, MISSING TRAVEL DOCUMENTATION, OR MISSED CONNECTION.

6. Assumption of Travel Risks; Indemnity.
a. ALL TRAVEL IS AT YOUR OWN RISK.
b. Vin-Voyages is not responsible for clients becoming sick or injured during the Trip. Certain activities that are included as part of itineraries that we book pose inherent risks and may be dangerous and/or physically strenuous (including without limitation, daily walking, staircases, uneven pavement and cobblestone streets [often while handling luggage], hiking, climbing, swimming, biking, and visiting caves), and you accept those risks. You are responsible for assessing your fitness and medical suitability for travel. Your itinerary may also involve travel to remote areas without access to medical facilities or treatment, changing weather conditions, interactions or encounters with wildlife, and other potentially dangerous conditions. Clients are responsible for their own health and safety during the Trip, including taking necessary health and safety precautions. Vin-Voyages LLC does not provide medical coverage. You assume full responsibility for any medical conditions that may arise during the Trip. By engaging in these activities, you accept full responsibility for any risks and agree to adhere to all safety guidelines provided by us or our Suppliers. Should you feel uncomfortable at any time, you are under no obligation to participate in or complete any activity. 
c. Vin-Voyages is not responsible if a restaurant or any Supplier is unable to or fails to accommodate your dietary restrictions or requirements. Additionally, Vin-Voyages cannot guarantee that any hotel can accommodate your special requests.
d. Travel to certain destinations may involve greater risk than others. Vin-Voyages urges clients to remain informed on a daily basis as to current news events, as well as to review travel prohibitions, warnings, announcements and advisories issued by the United States government prior to booking travel to international destinations. BY OFFERING TRIPS TO PARTICULAR DESTINATIONS, VIN-VOYAGES DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH POINTS IS ADVISABLE OR WITHOUT RISK. 
e. Suppliers are independently owned and operated businesses, and Vin-Voyages is not responsible for any Supplier’s default, insolvency, negligence, intentional misconduct, criminal conduct, misrepresentation, or fraud. Vin-Voyages is not responsible for the negligence, intentional misconduct, criminal conduct, misrepresentation, or fraud of any third party.
f. VIN-VOYAGES IS NOT RESPONSIBLE FOR, AND YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD VIN-VOYAGES HARMLESS FROM AND AGAINST, ANY CLAIMS, LOSSES, DAMAGES, COSTS, EXPENSES, OR OTHER LIABILITIES OF ANY NATURE ARISING OUT OF YOUR OR ANY OTHER TRAVELER’S PROPERTY DAMAGE, INJURY, ILLNESS, DISSATISFACTION, FINANCIAL LOSSES, EMOTIONAL DISTRESS, DEATH, OR ANY OTHER LOSSES OR DAMAGES OCCURRING IN CONNECTION WITH ANY TRIP ARRANGED BY VIN-VOYAGES OR ANY OTHER USE OF OUR SERVICES, EXCEPT TO THE EXTENT THAT SUCH LOSSES OR DAMAGES ARE SOLELY AND DIRECTLY CAUSED BY VIN-VOYAGES’ GROSS NELIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT.

7. Use of Content; Social Media.
a. Vin-Voyages may use photos and other content provided by clients for promotional and advertising purposes on our social media platforms and other marketing materials. By submitting or sending content to us (which would also include messaging or tagging Vin-Voyages or any of our agents in your social media post), including but not limited to photos, videos, testimonials, photo captions, names of individuals appearing in the content, and your own name (collectively, “Submitted Content”), you grant us worldwide, unrestricted, royalty-free, irrevocable, sublicensable rights to: (i) publish, publicly display and perform, modify, edit, alter, and otherwise use the Submitted Content in whole or in part, without further consent, review, or participation from you, for any purpose throughout the world, including commercial and promotional purposes, in any medium or format now existing or hereafter created; and (ii) use your name, testimonials, and other information about you in connection with the Submitted Content.
b. You must have permission to take photographs of individuals appearing in the Submitted Content and to allow Vin-Voyages to use their image and name as described above. You represent and warrant that you grant permission on behalf of, or you have obtained permission from, everyone who appears in the photograph to be photographed and have the photograph and their names used and shared by Vin-Voyages in accordance with this Agreement. 
c. You agree not to submit any Submitted Content that: (i) infringes any intellectual property rights of any other person or third party, including but not limited to copyright and trademark; (ii) defames or invades the privacy or publicity rights of any person, living or deceased, or infringes upon any person’s or third party’s personal, property, or other rights; (iii) is inappropriate, sexually explicit, harassing, abusive, harmful, violent, or otherwise objectionable or offensive in any way; (iv) contains any virus, worm, corrupt file, or other forms of malicious code or content that may harm a website or computer; or (v) violates any law, statute, ordinance, or regulation.

8. Photo Release.
a.  Vin-Voyages reserves the right to take photographs and videos during your Trip which may include your image or likeness and/or the images or likeness of other travelers with you (“Images”). You hereby grant us worldwide, unrestricted, royalty-free, irrevocable, sublicensable rights to: (i) publish, publicly display and perform, modify, edit, alter, and otherwise use the Images in whole or in part, without further consent, review, or participation from you, for any purpose throughout the world, including commercial and promotional purposes, in any medium or format now existing or hereafter created.
b. If you prefer that your Images not be used, you must (1) notify your Vin-Voyages Trip guide at the beginning of the Trip, and (2) notify your Vin-Voyages Trip guide by email no later than 10 days following the end of the Trip. If you fail to comply with both of the foregoing obligations, you agree that the Images may be used by Vin-Voyages without compensation or liability as described above.

9. Respectful Conduct. As a traveler with Vin-Voyages, you are expected to be courteous and respectful to fellow travelers and staff. Vin-Voyages reserves the right to deny service to anyone who violates this policy. Inappropriate behavior may cause a Supplier to deny services to you. You should also be aware of cultural etiquette expectations, which may differ from the United States. You agree to abide by any reasonable conduct guidelines provided by Vin-Voyages from time to time.

10. Governing Law and Venue; Class Action Waiver; Deadline for Claims. This Agreement is governed by the laws of the State of Texas, without regard to its provisions on conflicts of laws. Exclusive venue of any suit arising out of or relating to this Agreement and your use of our services will lie in Polk County, Texas. You agree to bring claims, if any, against us only in your individual capacity and not as a plaintiff or class member in any purported class action or representative action. You agree to bring complaints or other claims against Vin-Voyages, if any, within 6 months after the occurrence out of which the claim arose.

11. Entire Agreement; Severability. This Agreement constitutes the entire agreement and supersede all previous agreements and communications between you and Vin-Voyages concerning the subject matter hereof. If a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable or invalid, the remainder of this Agreement will continue in full force and effect.

12. WAIVERS AND DISCLAIMERS. OUR SERVICES ARE PROVIDED ON AN AS IS, WHERE IS BASIS, AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO ANY SUPPLIER’S AND/OR OUR SERVICES’ QUALITY, ACCURACY, RELIABILITY, PERFORMANCE, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE, OR COMPLIANCE WITH LAW. VIN-VOYAGES SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OUR SERVICES. EXCEPT IN THE EVENT OF VIN-VOYAGES’ INTENTIONAL MISCONDUCT OR FRAUD, OUR MAXIMUM LIABILITY FOR ANY CLAIMS OR LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT OR TORT), SHALL NOT EXCEED $500 USD. 

By signing below, you acknowledge your receipt and approval of the Trip itinerary and agree to abide by this Agreement.
